Terms of Service

These Terms of Service (“Terms”) govern your access to and use of minmaxbrands.com (the “Site”) and the products, services, programs and features offered by MinMax Brands LLC (“MinMax,” “we,” “us” or “our”).

By accessing the Site, creating an account, submitting an application or purchasing a product, you agree to these Terms. If you do not agree, you may not use the Site or our services.

1. About MinMax

MinMax provides product information, customer support, warranty registration, wholesale opportunities and creator partnership programs. Certain products, services, prices and areas of the Site may only be available to approved users.

2. Eligibility

You must be at least 18 years old or the legal age of majority in your jurisdiction to make a purchase, apply for a business account or enter into an agreement with MinMax.

If you use the Site on behalf of a business or organization, you represent that you have the authority to accept these Terms on its behalf.

3. Customer Accounts

Certain features may require an account. You agree to provide accurate, current and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account. You must notify us immediately if you believe your account has been accessed without authorization.

MinMax may suspend or terminate accounts that contain inaccurate information, violate these Terms or are used fraudulently.

4. Wholesale Accounts

Wholesale access is subject to application, verification and approval by MinMax. Submitting an application does not guarantee approval.

Approved wholesale customers may receive access to private inventory, quantity-based pricing, account information and other business services. Wholesale pricing, availability, minimum order quantities, payment requirements and shipping terms may vary by customer, product and order.

Wholesale accounts and pricing are confidential and may not be shared, transferred or used by unauthorized parties.

Unless otherwise agreed in writing, wholesale purchases are intended for legitimate business use or resale. MinMax reserves the right to approve, reject, suspend or terminate wholesale access at its discretion.

Additional terms may appear in a quotation, invoice, purchase order or separate wholesale agreement. If those terms conflict with these Terms, the terms of the applicable written agreement will control for that transaction.

5. MinMax Experience

The MinMax Experience may allow customers to register products, validate eligible warranties, receive promotional communications and request customer support.

Product registration does not automatically create or extend a warranty. Warranty coverage remains subject to the applicable warranty terms, proof-of-purchase requirements, product eligibility and any exclusions stated in our Warranty Policy.

Submitting a support request or warranty claim does not guarantee repair, replacement, refund or approval.

6. Creator Program

Access to the MinMax Creator Program is subject to application and approval. Submitting an application does not create an employment, agency, partnership, sponsorship or payment relationship with MinMax.

Approved creators may receive access to private program information, products, promotional opportunities, commissions or other benefits. Specific benefits and obligations will be established in a separate creator agreement or campaign terms.

Creator accounts, private materials, pricing, campaign information and access credentials may not be shared without written authorization.

MinMax may modify, suspend or terminate the Creator Program or an individual creator’s access in accordance with any applicable written agreement.

7. Product Information

We make reasonable efforts to display product descriptions, specifications, images, availability and pricing accurately. However, colors and appearance may vary depending on the device or screen used.

Product packaging, accessories, specifications and availability may change. We do not guarantee that all information on the Site will always be complete, current or error-free.

We reserve the right to correct errors, update information or cancel an affected order when information is inaccurate, subject to applicable law.

8. Pricing and Availability

Prices are displayed in U.S. dollars unless otherwise stated. Prices may exclude taxes, shipping, handling, duties or other applicable charges.

Prices, promotions, inventory and product availability may change without notice. Placing an item in a cart or submitting an order does not reserve inventory.

Quantity-based and wholesale prices may depend on order volume, customer approval, inventory, location and payment terms.

9. Orders and Acceptance

Your order constitutes an offer to purchase. An order confirmation only acknowledges that we received the order and does not necessarily mean that we accepted it.

We may accept, decline, limit or cancel an order for reasons including inventory availability, pricing errors, suspected fraud, payment issues, shipping restrictions or violation of these Terms.

If we cancel an order after payment has been collected, we will issue the appropriate refund to the original payment method.

10. Payments

You agree to provide valid and accurate billing and payment information. You authorize MinMax and its payment processors to charge the payment method provided for the total amount shown at checkout.

Payments may be processed by third-party providers. MinMax does not directly control their services, security procedures or processing times.

You are responsible for applicable taxes, duties and fees unless otherwise stated in writing.

11. Shipping and Delivery

Shipping estimates are not guaranteed delivery dates unless expressly stated otherwise. Delivery times may be affected by carrier delays, weather, inventory availability, address problems and events outside our reasonable control.

Customers are responsible for providing a complete and accurate delivery address. Additional charges resulting from an incorrect address, refused delivery or repeated delivery attempt may be the customer’s responsibility, to the extent permitted by law.

If we cannot ship within the promised timeframe, we will provide the notices, cancellation options or refunds required by applicable law.

12. Returns and Refunds

Returns, exchanges, cancellations and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

Products must meet the eligibility requirements and deadlines described in that policy. Certain products, final-sale items, opened products, wholesale orders or specially sourced merchandise may be subject to different restrictions when disclosed before purchase.

Nothing in these Terms limits any non-waivable consumer rights provided by applicable law.

13. Warranties

Products may be covered by a MinMax warranty, a manufacturer’s warranty or no additional warranty, depending on the product and transaction.

Applicable coverage, limitations, exclusions, claim procedures and required documentation are described in the product listing or our Warranty Policy.

Except for warranties expressly provided in writing and rights that cannot legally be excluded, products and services are provided “as is” and “as available.”

14. Promotions and Communications

Promotions, discounts and special offers may be subject to separate terms, expiration dates, eligibility requirements and availability limitations. Unless expressly permitted, promotional offers may not be combined.

If you subscribe to marketing emails or text messages, you may unsubscribe using the instructions included in those communications. Unsubscribing from marketing messages will not prevent us from sending necessary transactional or account-related communications.

Message and data rates may apply to text messages.

15. Acceptable Use

You may not:

  • Use the Site for unlawful, fraudulent or abusive activity.

  • Attempt to access another person’s account or a restricted area without authorization.

  • Share private wholesale or creator credentials, pricing or program information.

  • Interfere with the Site’s operation, security or availability.

  • Introduce malicious code, viruses or automated scraping tools.

  • Copy, reproduce or commercially exploit Site content without authorization.

  • Submit false applications, claims, reviews or product registrations.

  • Use MinMax trademarks, branding or content in a misleading or unauthorized manner.

We may restrict or terminate access when we reasonably believe these Terms have been violated.

16. Intellectual Property

The Site and its content, including the MinMax name, logos, graphics, text, photographs, videos, page designs and other materials, are owned by or licensed to MinMax and are protected by applicable intellectual-property laws.

You receive a limited, revocable and non-transferable right to use the Site for its intended purpose. No ownership rights are transferred to you.

17. User Submissions

If you submit reviews, photographs, videos, feedback or other content, you represent that you own or have permission to share that content and that it does not violate another person’s rights.

You grant MinMax a non-exclusive, worldwide, royalty-free license to store, reproduce and display that content as reasonably necessary to operate the Site, provide support or administer the applicable program.

We will not use creator content in paid advertising or unrelated commercial campaigns unless authorized by the creator or permitted under a separate agreement.

18. Third-Party Services and Links

The Site may contain links to or integrations with Shopify, payment processors, shipping carriers, social platforms and other third-party services.

Those services operate under their own terms and privacy policies. MinMax is not responsible for third-party websites, content, availability or practices.

19. Privacy

Our collection and use of personal information are governed by our Privacy Policy. By using the Site, you acknowledge that your information may be processed as described in that policy.

20. Disclaimer of Warranties

To the fullest extent permitted by law, the Site and its services are provided “as is” and “as available.” We do not guarantee that the Site will always be uninterrupted, secure, accurate or free from errors.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

21. Limitation of Liability

To the fullest extent permitted by law, MinMax Brands LLC and its owners, employees, contractors and affiliates will not be liable for indirect, incidental, special, consequential or punitive damages arising from your use of the Site, products, services or programs.

To the fullest extent permitted by law, MinMax’s total liability relating to a transaction will not exceed the amount you paid to MinMax for the product or service giving rise to the claim.

These limitations do not apply where liability cannot legally be excluded or limited.

22. Indemnification

To the extent permitted by law, you agree to indemnify and hold MinMax Brands LLC harmless from claims, losses, liabilities and reasonable expenses resulting from your unlawful use of the Site, violation of these Terms or infringement of another party’s rights.

23. Termination

We may suspend or terminate your access to the Site or restricted programs if you violate these Terms, misuse an account, engage in fraudulent activity or create a security or legal risk.

Terms that by their nature should remain effective after termination will survive, including provisions concerning intellectual property, disclaimers, liability and governing law.

24. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute arising from these Terms or your use of the Site will be handled by the state or federal courts located in Polk County, Florida, unless applicable law requires otherwise.

This section should be reviewed by qualified legal counsel before publication.

25. Changes to These Terms

We may update these Terms periodically. The revised version will be posted on this page with a new effective date.

Your continued use of the Site after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

26. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

27. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, Warranty Policy and any applicable written program or transaction agreement, constitute the agreement between you and MinMax regarding use of the Site.
